Bellwether Pre-Seed Venture Round

Bellwether is in the process of its first fundraising round. We’re excited about the potential of your participation and have created this document as a reference.

We’re seeking $700,000 USD of venture capital offered on a $5mm capped SAFE.

We’re also offering the first $75,000 of angel funds on a $3.5mm capped safe to incentivize a speedy process.

What’s a a SAFE?

  • a “Simple Agreement for Equity” created by Y Combinator - more details here
  • It’s a convertible instrument which offers capital without debt, that will convert to equity at our first priced financing round (likely ~24-36 months from the close of pre-seed)
  • There are two primary functions for how this can convert
    • A valuation cap: your equity is valued as if the company is worth this amount or less. Meaning, if you invest at a $5mm cap and our first priced financing round values Bellwether at $20m, your stock will be converted as if we’re only worth the cap set today ($5mm)
    • A discount rate. Your equity will convert at the same valuation as other investors, after the discount rate.

So, what’s Bellwether?

Bellwether provides a free, all-in-one platform for community organizers to structure their campaigns and engage constituents. By doing so, we yield a dataset which serves as a highly valuable contributor to localized political predictive analytics.

Local politics are slowly becoming more dominant in the American political landscape. More and more issues are being legislated on a microscopic scale. Simultaneously, the American electorate is becoming less engaged and less informed regarding local issues. Local politics currently relies on individual community organizers who rally and educate constituents on relevant issues. These organizers typically utilize an array of inadequate tech platforms to convey their messaging.

This leaves us with a unique opportunity to help build a tech platform which serves community organizers and helps engage historically underserved communities to become more politically engaged.

Impact: Greater and more informed engagement on all levels of political issues and an enhanced dataset of predictive analytics of political outcomes.

Founding team

Bellwether is being founded by Max Feber, a former CEO and acquired Founder. A significant priority following our fundraise is expanding our founding team to include individuals with acute expertise in Engineering, Financial Management and Political Analytics. We’re choosing to wait in order to offer more competitive compensation packages and expand the potential talent pool.
